These Terms of Use ("Terms") govern your access to and use of the website located at www.thePharmaForce.com (the "Site") and any related content, features, or services made available through the Site by Pharma Force Group, LLC ("PharmaForce," "we," "our," or "us").
By accessing or using the Site, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not use the Site.
These Terms apply to general visitors, prospective customers, and any individual accessing the Site on behalf of an organization. Use of PharmaForce's platform or contracted services is governed separately by the applicable Customer Agreement or Service Agreement executed between PharmaForce and the covered entity or customer organization.

PharmaForce reserves the right to update or modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page. Your continued use of the Site following any changes constitutes your acceptance of the revised Terms. We encourage you to review these Terms periodically.
PERMITTED USE OF THE SITE
The Site is intended for informational purposes — to help healthcare organizations, covered entities, and industry professionals learn about PharmaForce's 340B program administration and pharmacy benefit offerings. You agree to use the Site only for lawful purposes and in a manner consistent with these Terms.
You agree not to:
- Use the Site for any unlawful purpose or in violation of any applicable law or regulation
- Attempt to gain unauthorized access to any portion of the Site, its servers, or any related systems or networks
- Interfere with or disrupt the operation of the Site or servers or networks connected to the Site
- Use automated means (bots, scrapers, crawlers) to access or collect data from the Site without our prior written permission
- Reproduce, duplicate, copy, sell, resell, or exploit any portion of the Site or its content without our express written authorization

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PHARMAFORCE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO YOUR USE OF OR INABILITY TO USE THE SITE OR ITS CONTENT, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL PHARMAFORCE'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE EXCEED ONE HUNDRED DOLLARS ($100).

Any feedback, suggestions, or ideas you submit to PharmaForce through the Site may be used by PharmaForce without restriction and without compensation to you. PharmaForce is not obligated to treat any such submissions as confidential unless a separate written confidentiality agreement is in place.
HEALTHCARE REGULATORY COMPLIANCE
PharmaForce provides 340B program administration services to covered entities under contractual agreements that include applicable HIPAA Business Associate Agreements (BAAs). These Terms of Use govern only your access to the public-facing Site and do not constitute or modify any BAA, Service Agreement, or other contractual arrangement between PharmaForce and a covered entity.
Nothing on this Site should be construed as establishing a business associate, covered entity, or patient relationship between you and PharmaForce absent a separately executed agreement.
PRIVACY
Your use of the Site is also governed by our Privacy Policy.The Privacy Policy describes how we collect, use, and protect information you provide or that is collected automatically when you use the Site.
GOVERNING LAW AND DISPUTE RESOLUTION
These Terms are governed by and construed in accordance with the laws of the State of Pennsylvania, without regard to its conflict of law principles. Any dispute arising from or related to these Terms or your use of the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Pennsylvania.
INDEMNIFICATION
You agree to indemnify, defend, and hold harmless PharmaForce and its officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from or related to your use of the Site, your violation of these Terms, or your violation of any rights of a third party.
TERMINATION OF ACCESS
PharmaForce reserves the right to suspend or terminate your access to the Site at any time, without notice, for any reason, including if we believe you have violated these Terms. Sections of these Terms that by their nature should survive termination will survive, including but not limited to Sections 4, 6, 7, 12, and 13.
ENTIRE AGREEMENT
These Terms, together with our Privacy Policy and any applicable Customer or Service Agreement, constitute the entire agreement between you and PharmaForce with respect to your use of the Site and supersede all prior agreements, representations, and understandings relating to the same subject matter.
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
